Referral Partner Agreement

Effective Date: 12 March 2026

Between: Sputnik Devs (Pty) Ltd ("the Company") and the Referral Partner ("you")

1. Purpose

This agreement governs the relationship between you and Sputnik Devs as an external referral partner for our e-commerce SaaS platform. By registering as a referral partner, you agree to these terms.

2. Commission Structure

• Commission Rate: 8% of the referred client's monthly subscription payment.
• Commission Term: 12 months from the date the referred client's subscription is activated.
• Payment Basis: Commission is calculated on the actual amount paid by the client each billing cycle.
• Yearly Subscriptions: For clients on annual billing, commission is calculated on the monthly equivalent (annual amount / 12).

3. Referral Tracking

• Each partner receives a unique referral link (e.g., sputnikdevs.com/p/YOURCODE).
• A referral cookie is stored for 60 days when a potential client clicks your link.
• If the client signs up within the 60-day cookie window, the referral is automatically attributed to you.
• Only the first referral source is credited — if both a company director and external partner refer the same client, the director's referral takes priority.

4. Payouts

• No minimum payout threshold — any earned amount is eligible for payment.
• Commissions are paid monthly via bank transfer to the banking details you provide in your partner dashboard.
• You are responsible for providing accurate banking details.
• Payouts are processed by the 15th of each month for the previous month's commissions.

5. Eligibility & Conduct

• You must be at least 18 years old to participate.
• You may not use misleading, spammy, or deceptive methods to generate referrals.
• Self-referrals (referring yourself) are not permitted.
• You may not bid on Sputnik Devs branded keywords in paid advertising without prior written approval.
• You may not impersonate Sputnik Devs or its employees.

6. Commission Expiry & Cancellation

• Commission on a specific referral automatically expires 12 months after the client's subscription activation date.
• If a referred client cancels their subscription before the 12-month term, commission payments stop immediately.
• If a referred client downgrades their plan, commission is recalculated based on the new plan amount.
• Commission rates are locked ("snapshotted") at the time of the referral and will not change retroactively.

7. Termination

• Either party may terminate this agreement with 30 days written notice.
• Sputnik Devs reserves the right to immediately terminate your account for violation of these terms.
• Upon termination, existing qualified referrals continue to earn commission for their remaining term.
• New referrals will not be tracked after account deactivation.

8. Tax Obligation

You are solely responsible for any tax obligations arising from commission income. Sputnik Devs does not withhold taxes from commission payments. You may be required to provide tax registration details upon request.

9. Limitation of Liability

Sputnik Devs' total liability under this agreement is limited to unpaid commissions that have been earned and confirmed. The Company is not liable for lost referrals, technical issues with tracking, or indirect/consequential damages.

10. Amendments

Sputnik Devs may update these terms with 30 days' notice. Changes do not apply retroactively to existing referrals — the commission rate and term in effect at the time of referral remain locked. Continued participation after the notice period constitutes acceptance of the updated terms.
